1. Introduction
Welcome to shieldZ, a mobile application developed by BRAC IT Services Ltd. By downloading, installing, or using the shieldZ application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you are requested to avoid using the App.
2. Acceptance of Terms
By accessing or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms may be updated at times without notice, and the latest version will always be available within the App. Continued use of the App after any such changes shall constitute your consent.
Eligibility: You must be at least 18 years old
to create an account and use the App. By registering, you
represent that you are at least 18 years old and have the legal
capacity to agree to these Terms.
Account Information: When creating an account,
you must provide accurate and complete information, including a
valid mobile number registered in Bangladesh. You are
responsible for maintaining the confidentiality of your account
credentials and for all activities that occur under your
account.
Account Security: You agree to notify us
immediately of any unauthorized use of your account or any other
breach of security. We reserve the right to suspend or terminate
accounts found to be compromised or used inappropriately.
Permitted Use: The App is provided solely for
personal, non-commercial use. You may use the App to report
incidents, interact with incident data, and participate in
community engagement activities.
Prohibited Use: You may not use the App for any
illegal or unauthorized purpose, including but not limited to:
- Posting false, misleading, or defamatory information.
- Harassing, threatening, or intimidating other users.
- Impersonating any person or entity.
- Attempting to gain unauthorized access to the App, servers, or other user accounts.
- Distributing viruses, malware, or other harmful software.
- Using the App in violation of any applicable laws in Bangladesh.
Accuracy of Information: When reporting
incidents, you agree to provide accurate and truthful
information. Misleading or false reports may result in the
suspension or termination of your account and possible legal
action under the laws of Bangladesh.
Privacy and Anonymity: You have the option to
submit reports anonymously. However, anonymous reports may limit
your ability to edit or delete the report after submission. We
reserve the right to share anonymous reports with law
enforcement agencies if required.
Verification: The App includes a community
verification system where users can like or dislike reports
denoting the authenticity of the reporting incident. Reports
flagged as misleading may be reviewed by moderators and removed
if necessary.
Geotagging: The App may use GPS or other
location services to geotag incident reports. By using the App,
you consent to the collection and use of your location data as
described in our Privacy Policy.
Location Accuracy: While we strive to provide
accurate location data, we do not guarantee the precision or
accuracy of such data. Users are advised to verify the location
details before responding to or acting on incident reports.
Setup and Use: You may set up contacts for SOS
alerts, which will notify them in case of an emergency. It is
your responsibility to ensure that contact details are accurate
and up to date.
Limitations: The App relies on your device's
connectivity to send SOS alerts. We are not responsible for any
failure or delay in the delivery of such alerts due to network
issues, device malfunctions, or other factors beyond our
control.
Respectful Interaction: Users are expected to
interact respectfully with others within the App. Harassment,
abusive language, and discrimination based on race, religion,
gender, or any other protected characteristic will not be
tolerated and may result in account suspension or
termination.
Community Standards: Users must adhere to
community standards as outlined in these Terms and the App's
guidelines. Any content that violates these standards may be
removed, and users may face penalties, including account
suspension or termination.
Ownership: You retain ownership of any content
you submit through the App, including incident reports,
comments, and media files. By submitting content, you grant us a
non-exclusive, royalty-free, worldwide license to use,
reproduce, modify, and display the content for the purpose of
operating the App.
Content Guidelines: You agree not to post any
content that is unlawful, defamatory, obscene, or otherwise
objectionable. We reserve the right to remove or modify any
content that violates these Terms or applicable laws in
Bangladesh.
Your use of the App is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the App, you consent to the practices described in our Privacy Policy. We are committed to complying with the Digital Security Act, 2018, and other relevant data protection laws in Bangladesh.
3. Intellectual Property
The App and all associated intellectual property rights are owned by BRAC IT Services Ltd. You are granted a limited, non-exclusive, non-transferable license to use the App in accordance with these Terms. You may use the Software and/or the Application only for your personal, non-commercial purposes and shall not use the Software and/or the Application to:
- Attempt to gain unauthorized access to the Software and/or the Application or its related systems or networks.
- Reverse engineer or access the Software to build a product using similar ideas, features, functions, or graphics of the Application and/or the Software.
All trademarks, logos, and service marks displayed within the App are the property of their respective owners. You may not use any of these marks without prior written permission.
4. Limitation of Liability
The App is provided "as is" and "as available" without any warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, BRAC IT Services Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, even if we have been advised of the possibility of such damages. This includes, but is not limited to, damages for loss of data, loss of profits, or loss of goodwill.
5. Indemnification
You agree to indemnify and hold harmless BRAC IT Services Ltd., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the App, your violation of these Terms, or your infringement of any third-party rights.
6. Termination
We reserve the right to suspend or terminate your account and access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will immediately cease. You may also terminate your account at any time by contacting customer support. Any termination of your account does not affect your obligations under these Terms.
7. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh. You agree to first attempt to resolve any disputes informally by contacting us before resorting to legal action.
8. Miscellaneous
Severability: If any provision of these Terms
is found to be invalid or unenforceable, the remaining
provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or
provision of these Terms shall not constitute a waiver of such
right or provision.
Entire Agreement: These Terms, along with our
Privacy Policy, constitute the entire agreement between you and
BRAC IT Services Ltd. regarding your use of the App.
Absence of Venture: No joint venture,
partnership, employment, or agency relationship is assumed
between you and the company or any affiliated third-party
provider due to the use of the App.
